WestGate Systems LLC ("the Company") provides AI-driven communication tools, including voice assistants, chatbots, and automated lead capture systems. These services are provided on a subscription basis to assist the Client in business operations.
Definition: Client acknowledges that Artificial Intelligence is a probabilistic technology. On occasion, the AI may generate "hallucinations" - responses that are factually incorrect, nonsensical, or outside the intended scope.
Limitation of Accuracy: While the Company implements guardrails, the Company does not warrant that the AI will be 100% accurate at all times.
Client Review: The Client is responsible for monitoring AI interactions and notifying the Company of any recurring inaccuracies.
Responsibility: The Client is solely responsible for the accuracy of the information provided in the "Knowledge Base" (FAQs, pricing, service areas).
Misinformation: The Company is not liable for any unauthorized commitments, pricing errors, or reputational damage resulting from incorrect data provided by the Client.
Subscriptions: Services are billed monthly in advance.
Wallet Balance: For AI Voice services, the Client must maintain a positive balance in their "Communication Wallet." If the balance reaches zero, services will be suspended until topped up.
No Refunds: Due to the digital nature of the setup and resource allocation, all setup fees and monthly subscriptions are non-refundable.
The Client agrees to abide by all SMS and Telephony laws, including TCPA and A2P 10DLC regulations. The Client must ensure that all leads captured have provided express written consent to be contacted.
To the maximum extent permitted by law, WestGate Systems LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use or inability to use the AI services.
These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action shall be brought in the courts located in Wyoming.
